In September 2025, KBR announced a plan to pursue a tax-free spin-off of its Mission Technology Solutions (MTS) segment. Following the spin-off, KBR shareholders are expected to benefit from ownership in two pure-play, standalone companies with increased agility and distinct, compelling investment profiles.

The spin-off is expected to be completed on January 4, 2027. Upon being officially spun off as an independent public company, the company will operate under the new name Trinzic.

The formation of two independent companies with distinct product and service offerings better positions New KBR and Trinzic to deliver long-term profitable growth and value for customers, associates, and shareholders. Each company is expected to benefit from: 

  • Enhanced strategic and management focus
  • Organizational agility and streamlined decision making
  • Increased end market focus, prioritized commercial resources, and sharpened go-to-market approaches
  • Greater capital allocation flexibility to support strategic imperatives, including potential future M&A transactions
  • Distinct and compelling investment profiles

The planned spinoff is intended to be taxfree to KBR and its shareholders for U.S. federal income tax purposes and remains subject to customary conditions, including regulatory approvals and final approval by KBR’s Board of Directors.

New KBR (Sustainable Technology Solutions – “STS”)

New KBR, comprising the Sustainable Technology Solutions business, will deliver proprietary IP-protected, process technologies that reduce emissions, increase efficiency, and advance energy transition. With trusted global capabilities and a strong track record for delivery, KBR will continue to provide synergistic advisory and consulting services, high-end digitally enabled engineering, design, and program management across the asset lifecycle to its customers globally.

After the spin-off of MTS, KBR will leverage its global leadership across a diverse base of over 85 process technologies, where it is uniquely positioned to benefit across the ammonia/syngas, chemical/petrochemicals, clean refining, and circular process/circular economy markets. KBR will build on its proven track record of commercializing new technologies opposite future demand needs to capture meaningful market potential, supported by strong secular trends.

KBR is expected to benefit from its low capital intensity, access to diversified revenue streams, and robust free cash flow with high conversion rates.

Trinzic (Mission Technology Solutions or SpinCo)

Trinzic will enter the market with more than $5 billion in annual revenue, 18,000 employees and a global footprint, supported by a capital-efficient model, a broad customer base and long-term contracts that generate stable and predictable cash flows.

The new company will deliver technology-forward, digital solutions and capabilities across a diverse portfolio. Key areas of expertise include digital integration, AI, mission engineering and rapid prototyping within the most complex, classified and multi-domain environments.

In connection with its plan to form two independent, publicly traded companies, KBR has announced the following executive leadership updates:

  • Post-spin, Stuart Bradie will serve as KBR Chair, President, and Chief Executive Officer.
  • Post-spin, Shad Evans will serve as KBR’s Chief Financial Officer.
  • Michael LaRouche has been appointed as President and Chief Executive Officer-Designate of the planned spin-off entity. LaRouche will join KBR on September 24, 2026. Post-spin, LaRouche will be President and Chief Executive Officer of Trinzic.
  • Nicholas Veasey has been appointed as Executive Vice President and Chief Financial Officer-Designate of the planned spin-off entity. Veasey joined KBR on July 1, 2026. Post-spin, Veasey will be Executive Vice President and Chief Financial Officer of Trinzic.

Investor Days

The company will host investor days for KBR and Trinzic on November 11, 2026, and November 12, 2026, respectively. Both events will be held at the Conrad New York Downtown and will be streamed via Q4. Registration details will be available on KBR’s investors page in the coming weeks.
